General Terms & Conditions of Service

 1. These General Terms & Conditions of Service shall be read in conjunction with the Registration Form/ Lease Agreement Form/ Delivery Order (“D.O.”) Form.  The collated documents shall form the basis of this subscription agreement (“Agreement”) between BTW Technology Pte Ltd (“BTW”) and the Customer (as defined below).  When the subscription of service (“Service”) includes rental device either with SIM Card or without SIM Card (collectively known as “Rental Device”), the Customer shall bear the full responsibility for the Rental Device within the leasing period according to terms stated in the Agreement. Customer means natural person, legal entity, and its authorized representative(s) as detailed in BTW’s quotation and/ or Agreement. For avoidance of doubt, the Agreement shall commence upon the Customer’s express confirmation of BTW’s quotation either by: a) signing of the quotation by the Customer; b) issuance of purchase order by the Customer; or c) any other form of such confirmation acknowledged and accepted by BTW.
2.  Customer is required to ensure the Rental Device is kept or maintained in good condition throughout the Contract Period (as defined below in Clause 4).  BTW shall always remain as the rightful owner of the Rental Device.  The Customer must not modify and/ or allow anyone to modify the Rental Device.  
3. Charges (Initial Value less Depreciation) may apply for any loss, damage, or replacement in relation to the Rental Device. The Initial Value of the Rental Device will be stated in Registration Form.  
a. The Initial Value is inclusive of labor, part, and transportation costs for the full replacement of Rental Device of similar specifications. 
           b. Depreciation = 1 % x Effected Months (leased and rounded down to the nearest month).
4. The Customer must remain subscribed upon commencement of the Agreement until the end of the leasing period (“Contract Period”) as stated in the Agreement.  In the event that the Customer prematurely terminates the Agreement, the Customer is liable to pay BTW for the remaining months of the Contract Period based on contractual rate of the Service. The Customer is not allowed to temporarily disconnect and/ or suspend the Service before completion of the Contract Period.
5. The Customer, who defaults on payment of BTW bill and whose Agreement is subsequently terminated by BTW before completion of the Contract Period, will have to pay the amount as derived in Clause 4 herein. The Customer is required to return the Rental Device in good working condition to BTW within 7 business days from the date of termination of the Agreement, failing which the Rental Device will be considered as lost and the Customer is liable to pay the relevant charges as stated in Clause 3 herein.
6. BTW will not be responsible for any interruption, disruption to or deterioration in the quality, reliability or accuracy of its Service, or any technical issue that may arise from or in relation to the use of its Service and/ or its Rental Device or hardware that the Customer may have connected to the Rental Device.
7. All Rental Device provided by BTW are covered under and subject to the terms of warranty from the respective manufacturers. BTW is not responsible for any defects of the Rental Device due to the faults of the manufacturer and/ or the Customer and if applicable, any hardware which the Customer may have connected to the Rental Device. However, BTW will replace the non-working Rental Device with similar specifications within a reasonable time frame.
8. The Customer shall ensure that the Rental Device provided by BTW is compatible with their PC/ notebook/ tablets and/ or network system. BTW will not be responsible should the Rental Device fails to work on the Customer’s system.  BTW is not obliged to change the Rental Device after the initial acceptance of the Rental Device by the Customer, should the Customer upgrade their equipment that becomes incompatible with our Rental Device.  
9. BTW’s Service exclude voice call charges, SMS charges, roaming charges, international call charges, excess data usage charges, and other Premium Rate Service (“PRS”) charges, unless otherwise stated. All chargeable usage will be billed to the Customer accordingly.  Basic service plan applies to Singapore use only, unless otherwise stated. For roaming usage, foreign operators’ roaming charges and GPRS/3G/4G/5G rates may apply.
10. BTW does not warrant that its Service will be uninterrupted and/ or error-free.  Uplink and downlink speed might vary depending on network coverage, location, devices used, network traffic, and the type of data being transmitted. 
11. BTW shall not be liable for any cost, loss, or damage (whether direct or indirect), or for loss of revenue, loss of profits, or any consequential loss whatsoever due to usage of our Service.
12. Unlimited Voice/ Data/ SMS offer (if any) is valid within the contractual period based on the condition that BTW and its network operator having the sole discretion to ascertain whether the Customer’s usage is excessive and aligned with its fair usage policy so as to determine if there is a need to change prevailing rates and terms of use.  Network operator and/or BTW reserve the rights to suspend or terminate or apply speed throttle should the Customer exceeds the fair usage threshold levels that are not pre-determined.
13. Should the Customer fails to return the Rental Device after the initial specified leasing period, the Agreement will be renewed monthly basing on the same terms, or new terms subject to BTW’s full discretion. Contractual Bonus Data (if any) is only valid for contract duration of minimum 3 months.      
14. Neither the mobile network operators nor its service providers shall be liable for any unauthorized access to or alteration of the transmission of data or for any actions, claims, costs (including legal costs on a full indemnity basis), charges, expenses, indirect or consequential loss or damage including but not limited to the loss of revenue, profit, anticipated savings or business whatsoever which the Customer may suffer or sustain arising from or in connection with any of our Service.

Cat 5 Continuous Data Streaming Broadcasting, IP Surveillance, etc.
16. Surcharge is applicable for Wi-Fi service relocation. Without prior agreement or approval from BTW, any hardware or software modification or removal from original installation site will be subjected to levy of minimum S$1,000, based on case-to-case basis. Notwithstanding the above mentioned, charges to loss/ damage of any Rental Device would remain applicable.
17. Words used herein, including those in the singular form, shall be construed as inclusive of the plural form and vice versa, as the context requires.
